Finally, for a reasonable charge, Mr. Bergmann will attend and provide legal counsel at any company meetings, document the minutes of such meetings, and/or prepare the written authorizations of business or practice decisions legally permitted to be made without a meeting.

In addition, at any time after the formation or conversion of the entity, Mr. Bergmann provides his business and professional clients, on request and for no additional charge, unlimited advice regarding the proper implementation of any formation or conversion documents which he has prepared for them.

Obtain as much information as possible about the client's anticipated business or professional entity (including, but not limited to, its expected purpose(s), funding, ownership, leadership, and operations); |

Educate the client about the organizational and tax options available to him/her; |

Help the client to select the most appropriate form of business or professional entity, based on the information provided on the completion of the first two steps; |
| 4. |
Prepare the necessary organizational and tax documents for the contemplated entity; |
| 5. |
Meet with the client for the review, explanation, and execution of those documents; |
| 6. |
File any required organizational and tax documents with the appropriate government office or agencies; |
| 7. |
Prepare a tabbed Company Record Book and insert all organizational and tax documents; and |
| 8. |
Provide the client with whatever initial legal guidance he/she may need as he/she move forward with the new or converted business or practice entity. |
