Forming New Businesses and Professional Practices

Mike Bergmann has the knowledge, training, and experience to assist most clients in forming the type of business entity which is appropriate for his, her, or their needs.

The types of entities that Mr. Bergmann forms most often are corporations, limited liability companies, associations, limited partnerships, and joint ventures, although he has the ability to assist clients in the organization or creation of other types of business entities.

While many of this law firm’s clients want to create a new business entity through which to start a business, some clients want to covert their existing business from one type of entity to another, in order to change the way their company will be treated for income tax withholdings, or other purposes. This law firm can handle such any conversions.

Some clients wish to merge or consolidate one business entity with another, either in a business acquisition between third parties or as a part of business restructuring between affiliated entities. This law firm can handle those sorts of transactions.

While some people are enticed by the low cost of forming their business through an Internet-based service, the use of a forms kit, or the assistance of a non-lawyer (whic under Ohio law, would be the unauthorized practice of law), there are several compelling reasons why an existing or prospective business owner should choose an attorney––and particularly this law firm––to handle its business entity formation:

1. Mr. Bergmann is a licensed attorney who has nearly 25 years of knowledge, training, and experience in providing this type of legal service;

2. Mr. Bergmann guides his clients through the process of determining which is the most appropriate business entity for them, based on the most important tax, organizational, and practical considerations;

   A. That process involves learning about the   client’s needs, educating the client about     his/her options, and helping the client to       make an informed   decision, which  is best   done in the context of the attorney-client     relationship:

3. Mr. Bergmann has substantial malpractice coverage to protect his clients against any professional error or omission on his part (although he has never had a malpractice claim asserted against him); and

4. Mr. Bergmann provides his clients with unlimited post-formation consultation support (regardless of whether a day, a week, a month, a year, or a decade after the formation work was done) with respect to the proper implementation of any documents which he has prepared, at no expense to the client.

5. Upon the client's request, Mr. Bergmann will prepare those periodic documents which are necessary for client's businesses or professional practices to continue satisfying the legal formalities required of the client's form of business entity, which documents may include Meeting Minutes, Written Consents to Action Taken in Lieu of Meetings, Trade Name Registrations, Fictitious Name Reports, Changes in Statutory Agent, and Amendments to Organizational Documents.

The firm charges its business clients a modest initial consultation fee of $75.00). If the client elects to have any further work done, the client is given credit for that payment toward the fee charged for the additional services.

This firm welcomes the opportunity to assist any new or existing business and professional practice owners with their business formations and re-structuring.
